Where It Is Really Run  ·  Treaty Tie-Breaker  ·  What It Triggers

Corporate Tax Residency Checker

A company incorporated abroad can still be resident in Canada if it is actually run from here. Work out which way the facts point, what a treaty would do about it, and what filings follow if the answer is not the one you assumed.

Disclaimer: This page is an informal indicator built from a small number of inputs and is not a determination of tax residency, an opinion, or advice on which any action should be taken. Corporate residency in Canada is a question of fact decided on the whole of the circumstances. A corporation incorporated in Canada after a date specified in the Income Tax Act is generally deemed resident in Canada regardless of where it is managed. A corporation incorporated outside Canada is resident in Canada under the common law test if its central management and control is exercised in Canada; that test looks to where the highest level of direction and control over the business actually occurs, which is traditionally where the board of directors meets but is not determined by formal meeting locations where the real decisions are taken elsewhere. The weighting applied on this page is illustrative and no factor is individually decisive. Where a corporation is resident in both Canada and a treaty partner, the treaty may contain a tie-breaker rule; the form of that rule differs between treaties, and a number of treaties now resolve dual residence by agreement between the tax authorities rather than by a fixed criterion, with the possibility that relief is denied. A corporation resident in Canada is generally taxable on its worldwide income and must file a Canadian corporate return; additional information returns may be required in respect of foreign affiliates and of specified foreign property above a prescribed cost threshold, each carrying its own penalties for late or incomplete filing. Where returns should have been filed and were not, programmes exist that may provide relief from penalties and partial relief from interest, but they operate on conditions, including that the disclosure is made before the tax authority initiates contact or action, and filing or contact made without advice can affect eligibility. Obtaining professional advice before making any filing or disclosure is strongly recommended. This page is general information, not tax or legal advice.

Where You Incorporated Is Not Where You Are Resident

This is the misunderstanding the whole page exists for. Registering a company in Delaware, Dubai, Wyoming or anywhere else establishes where it was formed. It does not establish where it is taxed.

If the company is actually directed from Ontario, Canada can treat it as resident here and tax it on its worldwide income. The foreign registration does not prevent that, and in most cases it is the thing that made the owner believe they were safe.

A corporation incorporated in Canada is a different matter. Those are generally deemed resident regardless of where they are run, so a Canadian company managed from Dubai does not stop being Canadian by moving the founder.

The Test Is Where the Real Decisions Happen

The common law test asks where central management and control is exercised: the highest level of direction over the business. Traditionally that is where the board meets, which is why advisers talk about board locations.

But the location of a meeting does not decide it where the real decisions are taken elsewhere. A board that formally convenes abroad while one person in Toronto actually runs the company is a familiar fact pattern with a familiar outcome.

Nominee Directors Do Not Fix It by Themselves

Appointing directors abroad who sign what they are sent does not move central management and control, because they are not exercising it. What matters is who genuinely decides, and a director who rubber-stamps is evidence that the decisions are being made somewhere else.

Genuine foreign management is a real structure with real costs: people with authority who actually use it, meeting abroad, with records that reflect what happened. Where that is not the intention, the structure will not do what was hoped.

A Treaty Does Not Always Rescue You

Where a company ends up resident in two countries, a treaty may contain a tie-breaker. People assume this resolves cleanly. It frequently does not.

Several modern treaties resolve dual residence by agreement between the two tax authorities rather than by a fixed test, and until they agree, the relief may simply be unavailable. The outcome is uncertain, slow, and not something to plan around.

And with no treaty, there is no tie-breaker at all. A company resident in Canada and in a non-treaty jurisdiction can face tax in both with limited relief, which is the worst version of this.

    What Canadian Residency Actually Triggers

Worldwide income becomes taxable in Canada and a corporate return is required for every year. That alone is usually manageable. The information returns are what produce disproportionate penalties.

Returns relating to foreign affiliates and to foreign property each carry their own filing requirements and their own penalties for being late, and those penalties accrue per year and per return rather than being proportionate to tax owing.

If You Think You Have Got This Wrong, Do Not File First

This is the most useful thing on the page. Where returns should have been filed and were not, relief programmes exist that can reduce penalties and some interest. They operate on conditions, and the central one is that the disclosure comes before the tax authority makes contact.

Filing a stack of late returns without advice, or ringing up to ask a general question that identifies the company, can affect eligibility for that relief. The order of operations matters more here than in almost any other tax situation.

Advice first, filings second. Our international tax planning service covers establishing the residency position properly, whether a treaty helps, and the order in which anything should be filed or disclosed.

What This Checker Does Not Do

    • Determine residency, which is a question of fact on the whole picture
    • Read your treaty, since tie-breaker rules differ between them
    • Calculate the tax that would arise on reassessment
    • Assess a disclosure or its eligibility
    • Cover permanent establishment, which is a separate question
    • Address personal residency, which follows its own rules

    Frequently Asked Questions

    Common questions on corporate residency.

Is my foreign company Canadian resident if I live in Canada?
Possibly. A corporation incorporated outside Canada is resident here if its central management and control is exercised in Canada, which looks at where the highest level of direction over the business actually occurs. Where you incorporated does not decide it.

What is the central management and control test?
A common law test asking where the real direction of the company happens. Traditionally that is where the board meets, but a formal meeting location does not control the answer where the genuine decisions are taken elsewhere.

Do nominee directors abroad solve the problem?
Not by themselves. Directors who sign what they are sent are not exercising management and control, and that pattern tends to be evidence the decisions are being made elsewhere. Genuine foreign management means people with authority who actually use it.

Does a tax treaty fix dual residency?
Not always cleanly. Several modern treaties resolve dual residence by agreement between the two tax authorities rather than a fixed test, and relief may be unavailable until they agree. With no treaty there is no tie-breaker at all.

What happens if my company is found resident in Canada?
Worldwide income becomes taxable here and a corporate return is required for each year. Information returns about foreign affiliates and foreign property may also be required, and their penalties accrue per year and per return rather than in proportion to tax owing.

Can a Canadian corporation become non-resident by moving abroad?
A corporation incorporated in Canada is generally deemed resident here regardless of where it is managed, so moving the founder does not change it. Emigrating a corporation has its own consequences and needs advice.

Should I just start filing Canadian returns?
Not before taking advice. Relief programmes for unfiled returns operate on conditions, including that the disclosure comes before the tax authority makes contact, and filing or contact made without advice can affect eligibility.

    Is paying tax abroad enough?
It affects the relief available rather than the residency question. A company can be resident in Canada regardless of what it pays elsewhere, and foreign tax paid may be creditable, which is a separate calculation.
