Company Registration for Construction Companies

Incorporating a construction business is not just a form. The structure you register determines your liability protection against job-site and warranty claims, how easily you can secure bonding and financing, and the tax planning available to you. A construction company registered without a proper share structure or the right CRA accounts often has to be fixed later, at extra cost.

We register construction corporations federally and provincially, run the NUANS name search, set up the share structure and minute book, and open the CRA accounts, corporate tax, GST/HST and payroll, so your construction company is ready to invoice, charge HST, run payroll and pursue bonding from day one. We handle the incorporation and, because we are a CPA firm, the bookkeeping and tax setup from the same office. See our main company registration services and our accounting for construction page for the full picture.

Case Studies: Construction Company Registration

General Contractor, Mississauga (Federal Incorporation)

A general contractor bidding on work in Ontario and Alberta needed name protection across provinces. We federally incorporated the company, ran the NUANS search, set up the share structure and minute book, and registered the corporation extra-provincially where it operated, with CRA accounts opened. The figures here are illustrative of the work we do, not a specific client file. Company Registration →

Federal incorporation. Extra-provincial registration handled.

Electrical Contractor, Brampton (Holdco Structure)

An electrical contractor wanted creditor protection against job-site and warranty risk. We registered the operating company and a holding company above it, set up the share structure to move surplus cash to the holdco, and opened the CRA accounts. The figures here are illustrative of the work we do, not a specific client file. Accounting for Construction →

Operating and holding companies registered. Structure set for protection.

HVAC Startup, Scarborough (Numbered to Bonding-Ready)

An HVAC startup wanted to begin fast, so we registered a numbered company within a day, then registered a trade name, set up the share structure and minute book, and built bookkeeping with job-costing so the company could pursue bonding as it grew. The figures here are illustrative of the work we do, not a specific client file. Get Started →

Numbered company registered fast. Trade name and books set up.

Concrete Partnership, Vaughan (Multi-Owner Setup)

Two partners forming a concrete company needed a share structure reflecting their stakes. We incorporated with multiple share classes, coordinated the shareholder agreement, prepared the minute book and opened the CRA and HST accounts, so the partnership started on a clear footing. The figures here are illustrative of the work we do, not a specific client file.

Multi-owner share structure. Partnership registered cleanly.

Federal vs Ontario Incorporation for Construction

The right choice depends on where you build and bid. We confirm the fit before we register.

What a Proper Construction Registration Must Cover

Registering the corporation is only the first step. These items determine whether your construction company is actually ready to operate, bond and finance.

ItemWhy It Matters for ConstructionHow We Handle It
Limited liabilityProtects personal assets from job-site and warranty claimsCorporation registered with proper structure
Share structureEnables partners, income splitting and holdco planningShare classes designed for your ownership
GST/HST accountMost construction work is taxable from day oneHST account opened with correct effective date
Payroll accountNeeded to pay crew and remit source deductionsPayroll account registered where you hire
WSIB coverageMandatory for most Ontario construction businessesRequirement flagged and coordinated
Minute bookLenders, sureties and buyers require itComplete minute book prepared at registration
Bonding-ready financialsSureties underwrite the corporation's financesBookkeeping and financials set up from day one

Incorporation gives limited liability, but it is not absolute. Directors can still be personally liable for items such as unremitted source deductions and certain statutory obligations, and personal guarantees override the corporate shield. We register the corporation correctly and explain where the protection applies. For the full service, see our company registration services.

Frequently Asked Questions

Do I need to incorporate my construction company?
You do not have to incorporate to run a construction business, but most contractors do, because incorporation gives limited liability that separates your personal assets from job-site and warranty risk, and it opens the door to lower corporate tax rates, easier bonding and cleaner financing. Sole proprietors carry every liability personally. We register your construction corporation federally or provincially and set it up correctly from day one.
Should a contractor incorporate federally or provincially in Ontario?
It depends on where you work. Ontario incorporation suits contractors who operate mainly within the province, while federal incorporation gives name protection across Canada and suits contractors bidding on work in multiple provinces. Federal corporations still register extra-provincially where they operate. We review your service area and bonding plans, then register your construction company under the structure that fits how and where you build.
How much does it cost to register a construction company?
We register construction companies on an AFFORDABLE flat fee, quoted upfront before we begin, with all fees including HST and no hourly billing. The government filing fee depends on whether you incorporate federally or provincially, and our fee depends on whether you need a NUANS name search, share structure setup, minute book and CRA account registrations. Please book a consultation for an exact all-in quote.
What is a NUANS report and do I need one to register?
A NUANS report is a name search that compares your proposed corporate name against existing names and trademarks across Canada, and it is required to incorporate with a named company federally or in Ontario. It protects you from choosing a name already in use. We run the NUANS search for your construction company name, review the results, and reserve the name as part of the registration.
Can I register a numbered company for my construction business?
Yes. A numbered company, such as 1234567 Ontario Inc., skips the NUANS name search and is faster and cheaper to register, which suits contractors who operate under a separate trade name anyway. You can add a business or trade name later. Many construction owners start numbered and register an operating name for signage and marketing. We set up either structure and register the trade name where you want one.
Do I need a business number and CRA accounts when I register?
Yes. When your construction corporation is registered, it receives a federal Business Number, and you will usually need several CRA program accounts opened against it, corporate income tax, GST/HST, and payroll if you hire. We register the corporation and open the CRA accounts your construction business needs, so you are ready to invoice, charge HST, and run payroll from the start.
Should my construction company register for GST/HST at incorporation?
Often yes. Most construction work is taxable, and once your taxable revenue is expected to exceed $30,000 you must register for GST/HST, so many contractors register at incorporation to charge HST and claim input tax credits on equipment, materials and subcontractors immediately. We assess whether to register at once or later, and open the GST/HST account with the correct effective date as part of the setup.
What share structure should a construction company use?
A simple structure with common voting shares works for a single owner, but many construction companies benefit from multiple share classes to bring in a partner, add a spouse for income splitting where the rules allow, or hold shares through a holding company for creditor protection and tax planning. The right structure depends on your goals. We design and register a share structure that fits your construction business and future plans.
Should I set up a holding company for my construction business?
Many contractors do. A holding company can hold the shares of your operating construction company, letting you move surplus cash out of the operating company for creditor protection against job-site and warranty claims, and support tax planning. It is not right for every contractor and adds cost. We review whether a holdco structure benefits your construction business and register both the operating and holding companies where it does.
Does incorporating help my construction company get bonding?
It can help. Surety companies generally prefer to bond an incorporated contractor with a clean corporate structure, proper financial statements and adequate working capital, because the corporation is the entity they underwrite. Incorporation alone does not secure bonding, since the surety assesses your finances and experience, but a properly structured corporation with CPA-prepared financials supports the bonding process. We register the company and can prepare the financials sureties expect.
Can you register my construction company and set up bookkeeping together?
Yes. Because we are a CPA firm, we register your construction corporation and set up your bookkeeping, HST and payroll at the same time, so your books, job-costing and CRA accounts are ready from day one. Registering and setting up accounting with the same firm means nothing falls through the gap between incorporation and running the business. We coordinate the whole setup for contractors.
How long does it take to register a construction company?
A numbered company can often be registered within a business day, while a named company takes a little longer because of the NUANS name search and review. Setting up the share structure, minute book and CRA accounts adds a little time. We confirm a realistic timeline at the start based on whether you incorporate federally or provincially, named or numbered, and work to your deadline.
Do I need a minute book for my construction corporation?
Yes. Every Ontario and federal corporation is legally required to maintain a minute book containing its articles, bylaws, director and shareholder registers, share certificates and resolutions. Lenders, sureties and buyers ask to see it. We prepare and organise the minute book for your construction corporation as part of the registration, so your company records are complete and compliant from incorporation.
What is the difference between incorporating and registering a business name?
Incorporating creates a separate legal corporation with limited liability, while registering a business name, or master business licence, simply registers an operating name for a sole proprietor or an existing corporation and gives no liability protection. Many contractors incorporate and then register a trade name under the corporation for branding. We explain which you actually need and register the right one for your construction business.
Should each construction project or division be a separate company?
Sometimes. Larger contractors and developers sometimes place separate projects, divisions or a high-risk trade in their own corporations to contain liability and simplify partnerships or financing, while smaller contractors run everything through one corporation. Separate entities add cost and administration. We review your risk, partnerships and bonding needs, then register the structure, single or multiple, that fits your construction operations.
Can a non-resident register a construction company in Canada?
Yes, though there are additional considerations. Federal and most provincial corporations can be registered with non-resident directors, but director-residency rules, banking, bonding and tax filing all need attention for a non-resident owner. We register the construction corporation, address the residency and CRA requirements, and where needed provide resident director support, so a non-resident can set up a construction company in Canada correctly.
Do I need workers' compensation coverage when I register?
In Ontario, most construction businesses are required to have WSIB coverage, and mandatory coverage in construction extends to many independent operators and executive officers, unlike most other industries. Registering the corporation is separate from WSIB registration. We flag the WSIB requirement as part of your construction setup and coordinate the registration so you meet the coverage rules from the start.
What business licences does a construction company need after registering?
Beyond incorporation, construction businesses often need trade-specific licensing, municipal business licences and, for some trades, provincial certification, and some contractors need to be registered under consumer-protection regimes. The exact licences depend on your trade and municipality. We register the corporation and CRA accounts, and flag the trade and municipal licensing your construction business needs to obtain so nothing is missed.
Can you register my construction company name and reserve it?
Yes. We run the NUANS name search for your proposed construction company name, review it against existing names and trademarks, and reserve it as part of the incorporation. If your first choice is taken, we help you choose a compliant alternative. Please have two or three name options ready, and we will search and register the best available one for your construction business.
What ongoing filings does a registered construction corporation have?
After registration, your construction corporation must file an annual corporate return to keep its status active, file a T2 corporate tax return each year, remit HST, run payroll remittances if it has staff, and keep its minute book current. Missing these leads to penalties or dissolution. We handle the ongoing corporate and CRA filings so your construction company stays compliant after it is registered.
Should I incorporate before or after I start taking construction jobs?
Before, wherever possible. Taking jobs as a sole proprietor first means the liability, contracts and HST sit with you personally, and moving them into a corporation later adds cost and complications. Incorporating before you start lets the corporation hold the contracts, bonding and bank account from day one. If you have already started, we can still incorporate and transition the business correctly.
Can I transfer my existing sole proprietor construction business into a corporation?
Yes. Many contractors start as sole proprietors and later incorporate, moving the equipment, contracts and goodwill into the new corporation. This can often be done on a tax-deferred basis with the right election, but it must be structured correctly. We register the corporation and handle the transfer of your construction business into it so the assets and tax position are set up properly.
What are the tax advantages of incorporating a construction company?
An incorporated construction company can access the small business deduction, which lowers the tax rate on the first portion of active business income, defer tax by leaving profits in the company, split income where the rules permit, and plan compensation between salary and dividends. These benefits depend on your numbers. We register the corporation and, as a CPA firm, set up the structure so these planning opportunities are available to your construction business.
Can you register a construction company for a partnership or multiple owners?
Yes. Where two or more people are building a construction business together, the share structure, shareholder agreement and control need to be set up carefully at registration to reflect each owner's stake and protect the partnership. We register the corporation with the right share classes for the owners and can coordinate the shareholder agreement, so a multi-owner construction company starts on a clear footing.
Is registering a construction company confidential?
Yes. Your registration details and the information you share with us are treated confidentially, and we handle everything securely through our TaxDome portal. Certain corporate information, such as the corporate name and registered office, becomes part of the public corporate registry by law, but your financial and planning information stays private. Please share your details with us and we will register your construction company securely.
Can you register my construction company across Canada, not just Ontario?
Yes. We register construction corporations federally and in every province, and handle extra-provincial registration where your corporation operates outside its home province. Whether you build in Ontario alone or bid on work across Canada, we set up the corporation and the extra-provincial registrations your construction business needs. Please tell us where you work and we will register accordingly.
What do I need to provide to register my construction company?
You generally need your proposed company name and two or three alternatives, the directors' and shareholders' names and addresses, the registered office address, a description of your construction activity, and the share structure you want. If you do not yet know the structure, we advise on it. We gather everything, run the name search where needed, and complete the registration for your construction business.
Does incorporating protect me from construction liability and warranty claims?
Incorporation provides limited liability, so in general the corporation, not you personally, carries the business's debts and many claims, which is valuable given construction's job-site and warranty exposure. It is not absolute, directors can still be personally liable for certain items such as unremitted source deductions and some statutory obligations, and personal guarantees override it. We register the corporation and explain where the protection applies and where it does not.
