E-Commerce Company Registration Services

Incorporating an online business is not just a form. The structure you register determines your liability protection against product-liability and chargeback claims, how cleanly you can open payment processing and raise capital, and the tax planning available to you. An e-commerce company registered without a proper share structure or the right CRA and HST accounts often has to be fixed later, at extra cost.

We register e-commerce corporations federally and provincially, run the NUANS name search, set up the share structure and minute book, and open the CRA accounts, corporate tax, GST/HST and payroll, so your online business is ready to charge HST, claim input tax credits, open payment processing and scale from day one. We handle the incorporation and, because we are a CPA firm, the bookkeeping and tax setup from the same office. See our main company registration services and our accounting for e-commerce page for the full picture.

Incorporation gives limited liability, but it is not absolute. Directors can still be personally liable for items such as unremitted source deductions and certain statutory obligations, and personal guarantees override the corporate shield. We register the corporation correctly and explain where the protection applies. For the full service, see our company registration services.

Frequently Asked Questions

Do I need to incorporate my e-commerce business in Ontario?
You do not have to incorporate to sell online, but most serious sellers do, because incorporation separates your personal assets from product-liability, chargeback and supplier risk, and it opens lower corporate tax rates and cleaner access to financing and better payment-processor and marketplace terms. A sole proprietor carries every liability personally. We register your e-commerce corporation federally or provincially and set it up correctly from day one.
Should an e-commerce business incorporate federally or provincially?
Because e-commerce sells everywhere, federal incorporation is often attractive for its name protection across Canada, while Ontario incorporation suits sellers focused on the domestic market who want a simpler setup. Federal corporations still register extra-provincially where they have a physical presence. We review where you sell, whether you hold inventory in other provinces or the US, and your platform plans, then register under the structure that fits your online business.
How much does it cost to register an e-commerce business?
We register e-commerce businesses on an AFFORDABLE flat fee, quoted upfront before we begin, with all fees including HST and no hourly billing. The government filing fee depends on whether you incorporate federally or provincially, and our fee depends on whether you need a NUANS name search, share structure setup, minute book and CRA account registrations. Please book a consultation for an exact all-in quote.
Do I need to register for GST/HST when I start selling online?
Usually yes, once your taxable sales are expected to exceed $30,000. Most online sales of goods and many digital services are taxable, and registering lets you claim input tax credits on inventory, software, advertising and platform fees. Some marketplaces collect tax on your behalf, which changes your obligations. We assess your sales channels, open the GST/HST account with the correct effective date, and set up the right tax handling for your store.
How does GST/HST work when I sell to customers across Canada?
You charge tax based on where your customer receives the goods under the place-of-supply rules, so an Ontario seller charges 13% to Ontario customers, 5% GST to Alberta, and the applicable rate to other provinces. Digital products and marketplace sales have their own rules. Getting your store's tax settings right at the start avoids over-collecting or under-remitting. We register the HST account and help configure your platform tax so each sale carries the correct rate.
Do marketplaces like Amazon or Etsy collect sales tax for me?
In many cases, yes. Under marketplace rules, platforms such as Amazon can be required to collect and remit GST/HST on sales they facilitate, which changes what you report, but you may still need to register and account for other sales and to claim input tax credits. The rules are nuanced and evolving. We review how each of your channels is treated and set up your registration and reporting so nothing is double-counted or missed.
Do I need to worry about US sales tax if I sell to American customers?
Possibly. Selling into the US can create state sales-tax obligations once you exceed a state's economic nexus threshold, which is separate from Canadian GST/HST and varies by state. This is a specialised area. We register your Canadian corporation and its CRA accounts, flag where US state sales-tax nexus may arise from your volume, and can coordinate the US side, so your cross-border selling is set up with the right advice.
What is a NUANS report and do I need one for an online store?
A NUANS report is a name search comparing your proposed store name against existing corporate names and trademarks across Canada, and it is required to incorporate a named company federally or in Ontario. It protects you from choosing a name already in use, which matters when you are building a brand and domain around it. We run the NUANS search for your e-commerce company name, review the results, and reserve the name as part of the registration.
Can I register a numbered company for my e-commerce business?
Yes. A numbered company, such as 1234567 Ontario Inc., skips the NUANS name search and is faster and cheaper to register, which suits sellers who trade under a separate brand name anyway. You then register that store name as a trade name under the corporation for your website and marketplaces. Many online sellers start numbered and register the operating name separately. We set up either structure for you.
Do I need a business number and CRA accounts to sell online?
Yes. When your e-commerce corporation is registered, it receives a federal Business Number, and you will usually need CRA program accounts opened against it, corporate income tax, GST/HST, and payroll if you hire. Payment processors and some marketplaces also ask for your Business Number. We register the corporation and open the CRA accounts your online business needs, so you are ready to charge HST, claim credits and run payroll from the start.
What share structure should an e-commerce business use?
A single founder can use simple common voting shares, but many online businesses benefit from multiple share classes to bring in a co-founder or investor, add a spouse for income splitting where the rules allow, or hold shares through a holding company for asset protection and tax planning. E-commerce often raises outside capital, so structure matters. We design and register a share structure that fits your ownership and any investor plans.
Should I set up a holding company for my e-commerce business?
Some online sellers do, particularly where the business builds up cash, valuable intellectual property or a brand worth protecting. A holding company can hold the shares of the operating store, letting you move surplus cash out of the higher-risk operating company and supporting tax planning and a future sale. It adds cost and is not right for every seller. We review whether a holdco structure benefits you and register both companies where it fits.
Can you register my e-commerce company and set up bookkeeping together?
Yes. Because we are a CPA firm, we register your e-commerce corporation and set up bookkeeping, HST and payroll at the same time, with a chart of accounts and integrations built for platform fees, payment-processor settlements, inventory and advertising. Registering and setting up accounting together means your books, sales-tax tracking and CRA accounts are ready from your first order. We coordinate the whole setup for online sellers.
How long does it take to register an e-commerce business?
A numbered company can often be registered within a business day, while a named company takes a little longer because of the NUANS name search and review. Setting up the share structure, minute book and CRA accounts adds a little time. Given how quickly online stores launch, we confirm a realistic timeline at the start and work to your launch date so the corporation is ready when you go live.
Do I need a minute book for my e-commerce corporation?
Yes. Every Ontario and federal corporation must maintain a minute book containing its articles, bylaws, director and shareholder registers, share certificates and resolutions. Investors, lenders and buyers, and e-commerce businesses are often sold, ask to see it. We prepare and organise the minute book for your e-commerce corporation as part of the registration, so your company records are complete and compliant from incorporation and ready for due diligence.
What is the difference between incorporating and registering a business name for an online store?
Incorporating creates a separate legal corporation with limited liability, while registering a business name, or master business licence, simply registers an operating name and gives no liability protection. Most online sellers incorporate and then register the store's brand name as a trade name under the corporation. We explain which you actually need and register the right combination for your e-commerce business, so the brand on your website is set up correctly.
Do I need to register the corporation before opening payment processing?
It helps. Payment processors such as Stripe and marketplace payout accounts are usually opened in the business's name and ask for your Business Number and corporate details, so having the corporation registered first means your processing, payouts and bank account are all in the corporation from the start. We register the corporation and open the Business Number so you can set up processing and payouts cleanly in the company's name.
Can a non-resident register an e-commerce company in Canada?
Yes, with some additional considerations. Federal and most provincial corporations can be registered with non-resident directors, but director-residency rules, banking, payment processing and tax filing all need attention for a non-resident owner selling into or from Canada. We register the e-commerce corporation, address the residency and CRA requirements, and where needed provide resident director support, so a non-resident can set up an online business in Canada correctly.
How is inventory handled when I register my e-commerce business?
Inventory is a core asset for a product business, and its tax treatment, valuation and the input tax credits on it matter from the start, especially if you hold stock in fulfilment centres in other provinces or the US. We register the corporation and set up bookkeeping to track inventory and cost of goods sold correctly, and flag where holding inventory in another jurisdiction creates additional registration or tax obligations for your online business.
Do I need a payroll account for my e-commerce business?
Only if you hire employees. Many online sellers start solo or use contractors and freelancers, in which case no payroll account is needed at first, though contractor payments still have to be handled and reported correctly. When you do hire, you need a CRA payroll account to remit source deductions. We open the payroll account when you need it and can set up payroll or contractor handling as your e-commerce business grows.
Should I incorporate before or after I start selling online?
Before, wherever practical. Selling as a sole proprietor first means the liability, contracts, HST and payment accounts sit with you personally, and moving them into a corporation later adds cost and processor re-verification. Incorporating before you scale lets the corporation hold the store, accounts and inventory from the start. If you have already started, we can still incorporate and transition your online business correctly.
What ongoing filings does a registered e-commerce corporation have?
After registration, your e-commerce corporation must file an annual corporate return to keep its status active, file a T2 corporate tax return each year, remit HST, run payroll remittances if it has staff, and keep its minute book current. Missing these leads to penalties or dissolution. We handle the ongoing corporate and CRA filings so your online business stays compliant while you focus on sales and growth.
Can you register my store name and reserve it?
Yes. We run the NUANS name search for your proposed store name, review it against existing names and trademarks, and reserve it as part of the incorporation. If your first choice is taken, we help you choose a compliant alternative before you build the brand and domain around it. Please have two or three name options ready, and we will search and register the best available one for your e-commerce business.
Can I transfer my existing sole proprietor online store into a corporation?
Yes. Many sellers start as sole proprietors and later incorporate, moving the inventory, brand, domain and goodwill into the new corporation. This can often be done on a tax-deferred basis with the right election, but it must be structured correctly. We register the corporation and handle the transfer of your online store into it so the inventory, intellectual property and tax position are set up properly.
What are the tax advantages of incorporating an e-commerce business?
An incorporated online business can access the small business deduction, which lowers the tax rate on the first portion of active business income, defer tax by leaving profits in the company to reinvest in inventory and ads, split income where the rules permit, and plan compensation between salary and dividends. These benefits depend on your numbers. We register the corporation and, as a CPA firm, set up the structure so these planning opportunities are available.
Does incorporating protect me from e-commerce liability claims?
Incorporation provides limited liability, so in general the corporation, not you personally, carries the business's debts and many claims, which is valuable given e-commerce exposure to product-liability, chargebacks and supplier disputes. It is not absolute, directors can still be personally liable for items such as unremitted source deductions and HST, and payment processors and lenders may require personal guarantees. We register the corporation and explain where the protection applies and where it does not.
Can you register an e-commerce company for a partnership or multiple founders?
Yes. Where two or more people are building an online business together, the share structure, shareholder agreement and control need to be set up carefully at registration to reflect each founder's stake and protect the arrangement, especially as e-commerce businesses often raise capital or get acquired. We register the corporation with the right share classes for the founders and can coordinate the shareholder agreement, so a multi-founder store starts on a clear footing.
What do I need to provide to register my e-commerce business?
You generally need your proposed store name and two or three alternatives, the directors' and shareholders' names and addresses, the registered office address, a description of your e-commerce activity, your sales channels, and the share structure you want. If you do not yet know the structure, we advise on it. We gather everything, run the name search where needed, and complete the registration for your online business.
Can Gondaliya CPA register my e-commerce company?

We register e-commerce corporations federally and provincially across Ontario and Canada, run the NUANS name search, set up the share structure and minute book, open the CRA accounts, and can set up platform-integrated bookkeeping, HST and payroll from the same firm.
