Tax Accountant for Software Resellers in Ontario and Across Canada
The biggest number on your financial statements is the one nobody checked. A reseller that contracts with the customer in its own name, sets the price, carries the credit risk and is obliged to perform looks like a principal reporting the full customer price as revenue with the vendor cost as an expense; a reseller that simply arranges a sale between vendor and customer for a commission looks like an agent reporting only its margin. On identical economics those two presentations differ by an order of magnitude, and the answer is read off the vendor agreement and the customer contract rather than off the billing format. ETA section 178 deems a reimbursed expense part of the consideration for your own supply except to the extent it was incurred as agent, and ETA section 138 decides whether a bundled element is incidental to another supply. We work that characterisation invoice by invoice, accrue rebates and vendor funds when earned, match prepaid vendor terms over the term they cover, and keep multi-year licences billed up front out of the wrong year. Whether you resell pure licence entitlements or also move hardware, we handle the contracts, the vendor economics and the cross-border tax — with AFFORDABLE flat fees.
AFFORDABLE Software Reseller Tax Accountant
A reseller business gets one thing wrong before it gets anything else right, and it is the largest figure on the page. Gross or net is a contract question, not a presentation preference and not something your billing system decides for you. Where you contract with the customer in your own name, set the price, carry the credit risk and are the party obliged to perform, the economics look like a principal making its own supply, and revenue is the full customer price with the vendor cost sitting below it as an expense. Where you merely arrange a sale between the vendor and the customer for a commission, the economics look like an agent, and the only thing in revenue is what you earned for arranging it. The same deal, on identical cash, can produce a top line ten times larger under the first reading than the second. ETA section 178 deems a reimbursed expense to be part of the consideration for your own supply except to the extent the expense was incurred as agent of the other person, and ETA section 138 deems an element supplied with another for a single consideration, and reasonably regarded as incidental to it, to form part of that other supply. We read the vendor agreement and the customer contract, document the factors, and apply the answer consistently. At Gondaliya CPA, we specialize in reseller revenue presentation, vendor-side economics and cross-border sales tax, providing AFFORDABLE flat-fee support that keeps you CRA-compliant and stops you paying more tax than you owe.
As a software resellers accountant, we work with licence-only resellers, value added resellers that implement what they sell, resellers of multi-year and term subscriptions, and resellers that also move hardware and activation stock across Ontario, with year-round support rather than a once-a-year scramble. We tell you what each deal actually earned after vendor cost, rebates and chargebacks, how much of your banked cash is a term you still owe service on, and where your cross-border exposure sits.
Let us handle the numbers so you can focus on the pipeline and the renewals.

Accounting That Understands How a Software Reselling Business Actually Works
Reselling is not retail and it is not consulting. Your revenue figure depends on what your contracts say rather than on what you banked, your margin arrives partly as a rebate months after the sale, your vendor invoices usually carry no Canadian tax at all, and a three-year term billed today is not three years of revenue today. At Gondaliya CPA, we understand that reality and provide practical, industry-focused solutions across Ontario.
Stay Compliant and Minimize Your Software Reselling Tax
For a reseller, staying onside with CRA and paying the least legal tax are the same job. We keep every filing on schedule while claiming every vendor, payroll and capital dollar the T2 allows, so nothing is missed and nothing invites a reassessment.

Why Choose Our Accounting Services for Software Resellers?

Our bookkeeping accrues rebates when earned, tracks marketing funds against the obligation attached to them, and shows what each deal earned after vendor cost and chargebacks.

- We prepare your T2 with GIFI on Schedule 100 and Schedule 125, presenting resold licence revenue, arranging commission, rebate income, marketing fund receipts and service fees on their own lines so CRA’s matching reads the return properly.
- Before the top line is set we read the vendor agreement and the customer contract together, because whether the full customer price or only your margin belongs in revenue is decided by those documents rather than by how the invoice prints.
- We include amounts received for licences not yet delivered under ITA paragraph 12(1)(a) and reserve them out under ITA paragraph 20(1)(m) where your own obligation on the term continues, so a three-year subscription billed today is not taxed today.
- We claim capital cost allowance on Schedule 8 with your own computers and demo lab in Class 50 at 55%, your own application software in Class 12 at 100%, and office fittings in Class 8 at 20%.
- We put a reseller or distribution right with a fixed legal term into Class 14 rather than letting it sit in Class 14.1 as goodwill, which is the capital error we most often inherit on a reseller file.
- We build the ledger so gross customer billings, vendor licence cost, arranging commission, rebates, marketing funds and chargebacks each have their own account, instead of collapsing into a single cost-of-sales line that hides where the margin came from.
- We accrue tiered margin and backend volume rebates when they are earned rather than when the credit note arrives, because a rebate recognised a quarter late moves cost into the wrong period and distorts every margin report you read.
- We carry a deferred revenue liability where multi-year and term licences were billed in full up front and your own obligation continues, because cash banked against two more years of renewal management is not revenue you have earned yet.
- We maintain a prepaid vendor commitment schedule so a term you paid the vendor for in advance is matched over the months it covers rather than expensed on payment, which is the mirror image of the deferred revenue question.
- We reconcile every vendor and distributor statement to what you billed the customer line by line each month, keeping the six years of records ITA section 230 requires and making sure no recoverable input tax credit is quietly lost.
- We run payroll for commissioned sales staff properly, handling commission, draw and clawback mechanics, vacation pay on commission under the Employment Standards Act, 2000, and the WSIB account that opens with your first hire.
- We test your pre-sales engineers, implementation consultants and outside sales agents against the Form RC4110 factors, because a large contractor line with no analysis behind it is the first thing a payroll auditor pulls on this kind of file.
- We file T4A slips on the contractors who are genuinely contractors, so the implementation, configuration and training payments you deducted are reported the way CRA expects instead of sitting in an unsupported subcontract total.
- We remit source deductions on the PD7A by the 15th of the following month, because CRA’s late-remittance penalty on source deductions reaches 10%, and we reconcile each remittance back to the payroll register that produced it.
- We file your T4 slips and T4 Summary by the last day of February, reconcile them to the PD7A remittances made, and monitor Ontario payroll against the $1,000,000 Employer Health Tax exemption as the sales team grows.
- We read the vendor agreement and the customer contract before any rate is applied, because whether you are making your own supply of the full price or arranging a supply for a commission changes both the revenue and the tax on it.
- ETA section 178 deems a reimbursed expense part of the consideration for your own supply except to the extent it was incurred as agent, and ETA section 138 decides whether a bundled element is incidental to another supply.
- We reach that characterisation invoice by invoice against the documents and we never conclude it from the billing format, because the same economics can be presented either way and only the agreements tell you which one is right.
- On acquisitions from non-resident vendors we review the Division IV imported taxable supply rules, because the absence of Canadian tax on the vendor’s invoice settles nothing, and whether self-assessment applies to a given acquisition is reviewed rather than assumed.
- We review supplies to customers outside Canada against Part V of Schedule VI supply by supply, and we state only the conditional consequence: a zero-rated supply charges no tax while still carrying full input tax credits.
- We time your own equipment and software purchases against your fiscal year-end, weighing the 55% Class 50 rate on computers and demo infrastructure against the 100% Class 12 rate on application software, so the deduction lands where it is worth most.
- We set the salary-versus-dividend mix for the owner, paying enough T4 salary to build RRSP room while the balance flows as dividends, so combined tax stays near the 12.2% Ontario small-business rate instead of 53.53%.
- We keep your active income under the $500,000 Small Business Deduction limit using ITA section 125, and watch the associated-corporation rules where the same owner also runs an implementation arm or a separate hardware company.
- We plan renewal and vendor prepayment timing against your year-end so a large multi-year deal and the vendor cost that supports it fall in the same fiscal period, rather than the cost landing in one year and the billing in the next.
- We plan at least two years ahead so your shares qualify for the $1.25M Lifetime Capital Gains Exemption under ITA 110.6, purifying retained cash that would otherwise fail the active-business asset test on a sale.
- We reconstruct gross customer billings, vendor licence cost, arranging commissions, rebates and marketing fund receipts from vendor statements, distributor statements and bank records across your unfiled years, rebuilding the six years of records ITA section 230 requires.
- Late filing costs 5% of the balance owing plus 1% per month up to twelve months, so we file your oldest unfiled T2 first to stop the penalty compounding and limit the arrears interest CRA charges.
- We rebuild the deferred revenue and prepaid vendor positions year by year, because a catch-up filing that recognised every multi-year licence on receipt overstates income in the billing year and understates it in every year the term actually ran.
- We rebuild the capital pools across the missing years, moving your own computers and software out of Class 8 into Class 50 and Class 12 and recovering deduction that was understated in every single year it ran.
- We file a Voluntary Disclosures Program application on Form RC199 before CRA contacts you, because a disclosure accepted under the general program cancels penalties in full and gives roughly 50% interest relief on the older years.
- When CRA questions your top line, we produce the vendor agreement, the customer contract and the written analysis of the principal and agent factors, because an unexplained gross or net presentation is what invites the reassessment.
- When CRA tests revenue against bank deposits, we show the entitlement and renewal schedule, the deferred revenue reconciliation and the ITA paragraph 20(1)(m) reserve, because cash from a multi-year deal is not the same thing as income already earned.
- When CRA challenges the vendor side, we produce the rebate and fund accrual schedule, the chargeback history and the statement reconciliations, so tiered margin and backend amounts are shown as earned rather than as unexplained credits in the bank.
- When CRA opens a full audit, we manage the file and answer the revenue, sales tax and payroll queries inside the deadlines, so a one-year review does not expand across the three prior years CRA is able to reopen.
- We file the Notice of Objection within 90 days of a reassessment and pursue taxpayer relief on Form RC4288, cancelling penalties and interest that can top $15,000 where a prior accountant’s error caused them, protecting your Tax Court rights.
- We prepare the CSRS 4200 compilation engagement financial statements a lender requires across two fiscal years for the operating line that funds vendor prepayments and distributor trade credit ahead of customer collection, or for a customer base acquisition.
- The statements state the basis on which the top line is presented, because a covenant written on revenue means something completely different for a reseller billing the full customer price than for one reporting only its margin.
- Your compiled statement of financial position shows deferred revenue as the liability it is where multi-year terms were billed up front, and prepaid vendor commitments as the asset they are, so neither is read as cash you already own.
- We show rebates and marketing funds receivable when earned, any genuine inventory separated from cost of sales, and the acquired customer base separately from equipment, because a lender values a renewing customer base on completely different evidence.
- We deliver the compiled statements within 30 days of receiving your records and the year’s T2 figures, because a trade credit limit increase ahead of a large vendor prepayment does not wait for a slow accountant to catch up.
- We incorporate your reselling business under the Ontario Business Corporations Act, giving you limited liability on the performance promises a resale contract carries and roughly the 12.2% Ontario small-business rate against 53.53% personally.
- We complete the section 85 rollover on Form T2057, transferring your customer base, any reseller right and your equipment into the corporation at elected amounts, deferring the capital gain a straight sale would otherwise trigger.
- We set the opening Class 50, Class 12, Class 8, Class 14 and Class 14.1 schedules from the rollover, so the corporation starts with an asset base that is correct rather than rebuilt from memory several years later.
- We open the corporation’s CRA Business Number, HST and payroll accounts within the first 30 days, add an import account where physical stock crosses the border, and move the vendor and distributor accounts into the entity that has to report them.
- We set the chart of accounts with gross billings, vendor licence cost, arranging commission, rebates, marketing funds, chargebacks, deferred revenue and prepaid vendor commitments built in from the first deal, so the records accumulate correctly from day one.
- We rebuild months or years of neglected books from vendor statements, distributor statements, customer invoices and bank records, so a reseller who closed two strong years without any bookkeeping finally gets a ledger that ties.
- We separate gross customer billings from vendor licence cost across the whole backlog, which is the single correction that changes the largest number on your statements and every margin percentage anyone has quoted you since.
- We pull rebates, market development funds, price protection credits and chargebacks out of the vendor payable and onto their own accounts, so each one is recognised in the period it belongs to instead of whenever the credit cleared.
- We rebuild the equipment and software schedule from purchase invoices and split it across Class 50, Class 12 and Class 8, which is almost always pooled incorrectly when we inherit a reseller’s file from another firm.
- We recover the input tax credits buried in unentered vendor, software, subcontractor and equipment invoices wherever the supply they relate to is taxable, because two years of unposted purchases can hide five figures of recoverable credits.
- On sales to customers outside Canada we review the place of supply and export rules against what was actually supplied and to whom, rather than treating a foreign billing address as an automatic answer in either direction.
- We name United States state sales tax on software and foreign consumption taxes such as EU and UK VAT as live questions for local advisers where your customers sit abroad, and we assert no state, threshold, rate or registration conclusion.
- Where you deal with a non-arm’s length non-resident vendor or affiliate, ITA section 247 applies and we prepare Form T106 on those transactions and Form T1134 on foreign affiliates, without asserting any method, margin or outcome.
- We file Form T1135 where the owners’ foreign property costs more than $100,000, and we record foreign exchange on vendor purchases and customer sales as they happen rather than averaging the whole year at the year-end.
- Where a US citizen is a shareholder of the company, we coordinate the Canadian and US returns, because their reporting obligations reach into a Canadian corporation in ways most reseller owners discover far too late.
- We bring your company forward where the top line was presented on a basis nothing on file supported, correcting the revenue and the net tax together before a reviewer finds the same gap and assesses penalties on both.
- We disclose acquisitions from non-resident vendors where the Division IV imported taxable supply rules were never looked at, so the net tax is corrected on your own initiative rather than assessed with penalties and interest on top.
- We correct multi-year licences taken into income entirely on receipt with no reserve where your own obligation continued, which is a quiet and cumulative error on a business that sells three-year terms and bills them in full.
- We bring forward unfiled T4A slips on implementation, configuration and outside sales payments, because the per-slip penalties and the Form RC4110 classification exposure both sit behind that one subcontract line.
- We confirm your disclosure is genuinely voluntary before CRA contacts you, file it on Form RC199 with a full reconstruction from vendor and bank records, and secure the roughly 50% interest relief on the older years.

1. Has your gross or net revenue basis been documented against the vendor and customer contracts?
2. Are multi-year licences billed up front carried as deferred revenue where your obligation continues?
3. Are rebates and vendor marketing funds accrued when earned rather than when received?
4. Is your inventory position correct for what you actually sell, licences or hardware?
5. Have the Division IV rules been reviewed on your non-resident vendor invoices?
6. Is your software reselling business incorporated?

Case Studies: Software Reseller Accounting & Tax
Toronto Licence Reseller — A Top Line Nobody Had Tested Against the Contracts
The problem: A Toronto reseller had grown to a substantial book of licence entitlements and reported the full customer price as revenue with the vendor cost below it, purely because that is how the billing system printed the invoice. Nobody had read the vendor agreement or the customer contract to establish who contracted with the customer, who set the price, who carried the credit risk and who was obliged to perform. The largest figure on the financial statements rested on nothing, and a bank covenant was written on it.
What we did: We worked through the agreements contract by contract, documented the principal and agent factors for each arrangement, applied ETA section 178 and ETA section 138 to the recharged and bundled elements, and wrote up the basis for the presentation so it could be defended rather than assumed.
The result:
- Revenue basis documented against every active agreement
- Bank covenant renegotiated on a stated basis
- HST reporting aligned to the same analysis
Mississauga Reseller — Rebates Booked Whenever the Credit Note Arrived
The problem: A Mississauga reseller earned a meaningful part of its margin as tiered and backend volume rebates, plus market development funds received against defined marketing obligations. All of it was netted against the vendor payable and recognised whenever a credit note turned up, which was often a quarter or two after the volume was achieved. Marketing funds were taken straight to income on receipt even where the marketing had not yet been performed, so the statements told the owner nothing about which quarter had actually been profitable.
What we did: We built a rebate and fund accrual schedule recognising volume amounts when earned, reserved funds received for marketing obligations not yet performed under ITA paragraph 20(1)(m) after including them under ITA paragraph 12(1)(a), and separated chargebacks and price protection credits onto their own accounts through ETA section 232 adjustments.
The result:
- $186,400 of rebates moved into the period earned
- Marketing funds reserved against the unperformed obligation
- Quarterly margin reporting that the owner now trusts
Ottawa Reseller — Three-Year Terms and an Inventory Account That Should Not Exist
The problem: An Ottawa reseller sold three-year subscription terms and billed them in full on signature, taking every dollar into income in the year the invoice went out while continuing to carry support, renewal management and true-up obligations across the term. The same file carried an inventory account for pure licence entitlements, which is a retailer’s language applied to intangibles, while the activation stock it genuinely held in a cupboard had never been counted or landed.
What we did: We included the up-front amounts under ITA paragraph 12(1)(a) and reserved the undelivered portion under ITA paragraph 20(1)(m) where the obligation continued, built a prepaid vendor commitment schedule for the terms paid to the vendor in advance, removed the inventory account for the entitlements, and counted and landed the physical stock under ITA section 10.
The result:
- $428,000 of term billings reserved into the years earned
- $51,216 of corporate tax deferred to later years
- Physical stock counted and landed separately from licences
