Do I Need a Compilation Report for My Business?
A clear, CPA-written answer on what a compilation report is, when your business actually needs one, and the alternatives if you do not.
You need a compilation report when a lender, the CRA, a shareholder, or a supplier wants CPA-prepared financial statements but does not require assurance. It is the simplest, most AFFORDABLE level of financial statement a CPA can prepare. Most small private corporations need one for their bank or year-end, not an audit.
A compilation report, formerly called a Notice to Reader, is financial statements that a CPA compiles from information you provide, without auditing or reviewing them. It does not give any assurance that the numbers are accurate or complete, and it says so on its face. That sounds like a limitation, but for most small businesses it is exactly the right level: it produces clean, professionally presented statements that satisfy a bank or the CRA at the lowest cost. At Gondaliya CPA, we prepare compilation reports (Notice to Reader) for businesses across Ontario as part of year-end, and we tell you honestly when a compilation is enough and when you need more.
When You Actually Need a Compilation Report
Most small private corporations need a compilation, not an audit or a review. The usual triggers are external parties who want CPA-prepared statements to rely on for a basic purpose.
- Your bank or lender asks for financial statements. Many lenders accept a compilation for smaller loans, lines of credit and renewals.
- Your corporation files a T2 return. A compilation gives you clean year-end statements that support the numbers on your corporate tax return.
- A shareholder or partner wants formal statements. A compilation provides a professional, consistent presentation everyone can refer to.
- A supplier or landlord requests statements. For credit terms or a lease, a compilation is often all they need.
The Three Levels of Financial Statements
It helps to see where a compilation sits. There are three levels of CPA-prepared financial statements, increasing in assurance, effort and cost.
| Level | Assurance | Typical Use |
|---|---|---|
| Compilation (Notice to Reader) | None | Small private corporations, lenders, CRA, year-end |
| Review Engagement | Limited | Larger loans, some shareholders, certain agreements |
| Audit | Reasonable (highest) | Public companies, large loans, regulators, grants |
The right level is usually decided by whoever is asking for the statements, not by you. A bank lending a modest amount is generally satisfied with a compilation. A bank lending a large amount, a regulator, or a major investor may require a review or an audit. Asking the requesting party which level they need, before you commission anything, saves you from paying for more than you require.
The Plain-Language Difference: A compilation says "here are your numbers, prepared by a CPA, with no assurance." A review says "nothing came to our attention suggesting the numbers are wrong." An audit says "we tested the numbers and they are fairly stated." More assurance means more work and more cost.
When a Compilation Is Not Enough
A compilation is the right answer most of the time, but not always. You likely need a review or an audit instead if a lender specifies one in writing, if your shareholder agreement requires assurance, if you are seeking significant outside investment, or if a regulator, franchisor or grant program demands audited statements. If you are unsure, the safest step is to confirm the required level with the party requesting the statements before any work begins.
Case Study: Toronto Trades Business
A growing trades corporation in Toronto was told by its accountant it needed an audit before renewing its line of credit, an expensive and time-consuming engagement. We contacted the lender, confirmed the bank only required a compilation for the renewal amount, and prepared the compilation as part of year-end. The client got the renewal at a fraction of the cost of an audit.
How to Decide What You Need
Start by asking whoever wants the statements which level they require, then match it. For most small private corporations the answer is a compilation, prepared efficiently alongside your year-end and corporate tax filing. Our compilation and review engagement services cover all three levels, and we will tell you plainly which one your situation actually calls for, never selling you a higher level than you need.
