    Disclaimer: This estimator models elapsed calendar days between the steps involved in setting up a new corporation and becoming operationally able to invoice, bank and pay staff. The durations used are editable defaults reflecting commonly observed turnaround rather than published service standards, and actual times vary considerably with the registry’s workload, the completeness of the filing, the financial institution involved and whether any step requires rework. A corporation may generally be incorporated online in Ontario or federally within a very short period, and a federal corporation must additionally register extra-provincially in the province where it carries on business. A business number is required before program accounts such as GST/HST and payroll can be opened, and a GST/HST registration is required before tax may be charged and collected, subject to the small supplier rules which determine when registration becomes mandatory. Payroll source deductions must be remitted from the first payment of remuneration, which requires the payroll account to exist beforehand. Opening a corporate bank account requires the incorporation documents and identification of signing officers and is controlled by the financial institution rather than any registry.     The Certificate Is Not the Finish Line

    Incorporating online can be done in an afternoon, and that is the number people quote. It answers a question almost nobody is actually asking, because a corporation that exists on paper cannot yet charge tax, receive a payment or run a payroll.

    The useful question is how long until the business can operate. That is a different number, it is considerably larger, and it is determined by which steps have to wait for other steps.

    Most of the elapsed time is waiting rather than working. The actual effort across the whole process is a few hours. What stretches it out is that the business number cannot be requested until the corporation exists, the tax and payroll accounts cannot be opened until the business number exists, and the bank will not open an account without the incorporation documents in hand.

    What Blocks What

    Three chains run from the moment the articles are filed, and they run at the same time as each other. The total is set by whichever chain is longest, not by adding everything together.

    The bank is the step most often underestimated. It depends on an appointment, identification for every signing officer, and an internal approval that nobody outside the institution can accelerate. Incorporating on a Monday does not mean depositing a cheque on Tuesday.

    Everything at the CRA waits on the business number. Requesting the HST account and the payroll account before the business number exists is not possible, so a delay there pushes both. That is why the tax chain is two dependencies deep rather than one, and why it is worth requesting the business number the moment the articles are filed.

    The Name Decision Sits at the Front

    A numbered corporation removes the name step completely, which is why it is the faster route when timing matters. A named corporation requires a name search and, where the name is close to something existing, rework before the articles can be filed.

    That delay sits at the very front of the sequence, so it pushes everything behind it. A name that needs two attempts does not cost two days, it costs two days on top of every other step.

    Federal Adds a Step

    A federal corporation has to register extra-provincially in the province where it carries on business. That runs in parallel with the tax accounts rather than blocking them, so it usually adds less to the total than people expect, but it is a real step with its own filing and its own fee.

    Whether federal or provincial incorporation is right turns on name protection, where the business operates and how it expects to expand, rather than on this timeline difference.

    Registering for HST Early Is Usually Right

    A business can wait to register for GST/HST until the small supplier threshold requires it. Waiting has one consequence worth understanding: input tax credits on start-up purchases generally cannot be claimed for a period before registration takes effect.

    A business buying equipment, paying professional fees or fitting out premises before it registers may be giving up recoverable tax on all of it. Where meaningful start-up spending is planned, registering from the outset is usually the better decision even though it is not yet compulsory.

    The payroll account has a hard deadline attached. Source deductions have to be remitted from the first payment of remuneration, which means the account has to exist before anyone is paid rather than before the first remittance is due. Paying yourself or a first hire without the account open creates a compliance problem from day one.
