What is the difference between federal and Ontario provincial incorporation?
A federal corporation allows you to operate under your chosen name in all Canadian provinces and territories and offers stronger national name protection. An Ontario provincial corporation allows you to operate in Ontario under your name but requires extra-provincial registration if you expand to other provinces. We prepare and include a complete minute book as part of the $35 flat fee.
Is GST/HST registration included in the $35 fee?
No — GST/HST registration, CRA Business Number registration, payroll registration and import/export registration are government registrations separate from the incorporation itself and are NOT included in the $35 fee. However, if you engage Gondaliya CPA for annual accounting or tax services, all of these CRA registrations are provided FREE of charge.
Can a non-resident incorporate a business in Ontario?
Yes — non-residents can incorporate federally or provincially in Ontario. However, federal incorporation under the Canada Business Corporations Act requires at least 25% of directors to be Canadian residents. Ontario provincial incorporation under the OBCA requires at least one director to be a Canadian resident.
