Why Hiring a CPA for Corporate Tax Cleanup Can Save Your Business Thousands in Taxes

A late T2 costs 5% of the unpaid tax plus 1% a month, and unremitted source deductions can reach 20%. Cleanup is worth doing before CRA contacts you, because the Voluntary Disclosures Program closes once they do.
By Sharad Gondaliya, CPA | Corporate Tax Filing

As a leading corporate tax accountant in Canada, Gondaliya CPA offers expert corporate tax services focused on efficient T2 filing and strict CRA compliance. Their comprehensive approach includes bookkeeping services and accounting intelligence to support small businesses and optimize tax savings.

Quick Summary

Cleanup is worth doing for four reasons, and three of them are deadlines rather than deductions:

  • A late T2 costs 5% plus 1% a month, rising to 10% plus 2% on a repeat failure.
  • Unremitted source deductions carry 3% to 10%, and 20% where the failure is repeated and deliberate.
  • The Voluntary Disclosures Program can reduce penalties, but only if you come forward before CRA contacts you.
  • Clean records are what let you claim deductions you can actually support on review.

Scope & Assumptions

This article covers corporate tax cleanup and catch-up filing for incorporated Canadian businesses, with Ontario and Toronto context, and reflects rules current to 23 September 2026. Penalty relief, reassessment and disclosure outcomes depend on your own facts and on CRA’s discretion, so nothing here is a promise of a refund, a penalty reduction or a particular result. What Cleanup Covers and Who It Suits

Overview

If your books are behind or your filings are late, cleanup puts the records back in order so the returns can be filed on a defensible basis. A corporate tax accountant reviews what happened, corrects it, and files what is outstanding.

  • CPA review finds and fixes bookkeeping errors.
  • Accurate records reduce reassessment risk.
  • Supportable deductions stay claimed.
  • The correspondence with CRA is handled for you.
TL;DR Summary
  • Cleanup fixes the records first, then the filings.
  • Good bookkeeping is what prevents penalties, not what removes them after the fact.
  • Professional review improves the corporate tax filings that follow.
  • The result is a clean base for future years.

No firm can guarantee a particular CRA outcome. What a CPA firm changes is the quality of the filing and who deals with the questions afterwards.

Who This Service Is For / Not For
  • For: incorporated small and medium businesses with overdue bookkeeping or late returns, companies wanting their deductions properly supported, and businesses already facing a CRA review.
  • Not For: unincorporated sole proprietors, whose filings run through the personal return, and businesses that do not want their records brought current.
Risk Warning

Risk Warning: the disclosure window closes when CRA makes contact. The Voluntary Disclosures Program, revised effective 1 October 2025, can reduce penalties and part of the interest on unfiled or incorrect returns.

Relief now depends on whether the disclosure is unprompted or prompted, and an application made after CRA has already written to you falls into the weaker category or is refused outright. Tax owing is payable either way. If you know something is outstanding, the cheapest day to deal with it is before the letter arrives.

How the Service Works at Gondaliya CPA (Process + Timeline)

2

How the Service Works: Process and Timeline

Process

Cleanup runs in a fixed order, because the returns cannot be right until the records are.

  • We review your structure and the state of the books.
  • You send bank statements, invoices, receipts, payroll records, prior T2 returns, GST/HST filings and access to QuickBooks or Xero.
  • We test the records for gaps, duplicates and personal costs run through the company.
  • We set out what needs correcting and which deductions are supportable.
  • We correct the books, with your bookkeeper or directly in the software.
  • We prepare the outstanding returns, or amend filed ones where figures have changed.
  • We review the package with you before anything is filed.
  • We deal with CRA questions that follow, as your authorised representative.
  • We set up the process that keeps the books current afterwards.

Step-by-Step Workflow
  1. Talk and assess. We establish the corporate structure, the years outstanding and whether payroll or GST/HST is also behind.
  2. Gather records. Bank statements, invoices, receipts, payroll summaries, prior returns, GST/HST filings and software access.
  3. Review and plan. We look for missing periods, personal costs in company accounts, and expenditure capitalised or expensed in the wrong place.
  4. Correct the books. Reconcile every bank and credit card account so the ledgers agree to the statements.
  5. Prepare the returns. File outstanding T2 returns and amend earlier years where the corrected figures change them.
  6. Review and approve. We walk through the changes before filing, because you are the one certifying the return.
  7. Handle CRA follow-ups. Questions, reviews and objections where a reassessment is wrong.
  8. Keep it current. Monthly or quarterly bookkeeping so the same backlog does not rebuild.
Key Stat

Key Stat: filing a return late does not extend how long CRA can reassess it. The normal reassessment period runs three years from the date of the original notice of assessment for a Canadian-controlled private corporation, and four years for other corporations.

Two things reopen it. Subsection 152(4) allows reassessment beyond that period where there has been misrepresentation attributable to neglect, carelessness or wilful default, and the clock only starts once a return is actually assessed. An unfiled year stays open indefinitely, which is the practical reason to file it.

What We Need From You (Preliminary Checklist Preview)
  • Bank statements for every company account
  • Sales records and invoices
  • Receipts for significant expenses
  • Payroll summaries and remittance records
  • Prior T2 returns and any CRA notices
  • GST/HST filing records
  • Access to QuickBooks or Xero

Sending these together at the start is what keeps the fee where it was quoted.

Risks, CRA Compliance, and Common Mistakes

4

Risks, CRA Compliance and Common Mistakes

Risks

Cleanup exists because the penalties compound. Knowing the actual numbers is what makes the priority order obvious.

FailureConsequenceProvision
Late T2 return5% of unpaid tax plus 1% per complete month, to 12 monthsITA 162(1)
Repeat late filing10% plus 2% per month, to 20 monthsITA 162(2)
Late GST/HST return1% plus 0.25% per month, to 12 monthsETA 280.1
Late payroll remittance3% to 10%, and 20% for a repeat gross negligence failureITA 227(9)
Late T4 or T5 slips$10 a day, $100 minimum, $1,000 maximum for 1 to 50 slipsITA 162(7.01)
Unpaid balancesInterest compounded daily at the prescribed rateITA 161(1)
False statement or omissionGreater of $100 and 50% of the understated taxITA 163(2)
Risk Warning

Risk Warning: unremitted source deductions and GST/HST follow the directors personally. Section 227.1 of the Income Tax Act, and section 323 of the Excise Tax Act, make directors jointly and severally liable for amounts the corporation withheld or collected and failed to remit, together with interest and penalties.

Incorporation does not shield you from these. A due diligence defence exists, but it turns on what the director actually did to prevent the failure, not on having been unaware of it. Payroll and GST/HST arrears are therefore the first thing to clear in any cleanup.

Key Risks & How CPAs Handle Them
Risk AreaWhat happens if missedWhat we doBasis
Late corporate filingPenalty and daily interestFile the oldest year first and apply for relief where grounds existITA 162(1), 220(3.1)
Inaccurate income reportingReassessment, and gross negligence penalties in serious casesReconcile revenue to deposits and to GST/HST filingsITA 152(4), 163(2)
Unclaimed deductionsTax paid that was never owedRebuild records so claims are supportableITA 18(1)(a), 230
Poor recordsDeductions denied for lack of proofReconstruct from bank and supplier recordsITA 230(4)
Personal costs in company accountsDenied deductions and a shareholder benefit assessedSeparate and, where needed, clear through the shareholder accountITA 15(1), 18(1)(h)
Common Mistakes & Prevention
  • Missing documents: without an invoice, the deduction is difficult to defend.
  • Stale bookkeeping: the longer the gap, the harder the reconstruction.
  • Capital treated as current: equipment expensed outright instead of depreciated, which 18(1)(b) denies.
  • Errors left unamended: a known error in a filed year does not go away on its own.
  • Payroll left behind: the one arrear that reaches the directors personally.
Our Actual Experience

A client came in with three unfiled years and roughly $41,000 of unremitted source deductions. We filed the payroll arrears first, before the corporate returns, because that exposure sat with the director personally under section 227.1.

The T2 returns followed over the next six weeks, and a relief application was made on the interest. Sequencing it that way did not change the tax owing, but it closed the personal exposure first. Figures changed for privacy.

Checklist: What to Prepare Before You Start Corporate Tax Cleanup
  • Financial statements: whatever exists, from QuickBooks, Xero or a previous accountant.
  • Receipts and invoices: digital or paper, organised by year.
  • Bank and credit card statements: every account, every month, with no gaps.
  • Payroll records: remittance history, T4 slips and any CRA payroll notices.
  • Prior returns: T2 and GST/HST filings, with notices of assessment.
  • Contracts and loan agreements: they explain balances the ledger cannot.
  • Expense logs: mileage and anything used partly personally.

Records are kept for six years from the end of the taxation year they relate to, under subsection 230(4), or from the filing date where a return was filed late.

Industry Spotlights — How Corporate Tax Cleanup Shows Up in Real Businesses

5

Industry Spotlights and a Worked Example

Industries

  • Medical professional corporations: billing timing and what a professional corporation may deduct.
  • Dental practices: associate arrangements, equipment classes and personal costs in the practice account.
  • Daycare and childcare: CWELCC funding tracked separately, and payroll across variable hours.
  • Real estate investors and holding companies: intercompany loans, and interest traced to the property that earns income.
  • Property developers: whether a project is inventory or capital property, which decides whether the profit is business income or a capital gain.
  • Construction and trades: job costing, holdbacks and T5018 subcontractor reporting.
  • Technology and SaaS: gaps left by fast growth, usually before a financing round.
  • E-commerce: platform settlements reconciled to deposits, and inventory valued under section 10.
  • Restaurants: daily volume, and controlled tips that are pensionable and insurable.
  • Transportation and logistics: fleet costs, and input tax credits on fuel rather than rebates.

The pattern is the same everywhere: the records decide what can be claimed, and cleanup is what makes them usable. Our construction bookkeeping and catch-up bookkeeping guides go further on two of them.

One Realistic Numeric Example
Our Actual Experience

A Toronto company with $1,200,000 of revenue, around 150 transactions a month, eight employees on biweekly payroll and two bank accounts came to us with twelve months of bookkeeping undone and two T2 returns unfiled.

  • Both bank accounts were reconciled from the last clean month forward.
  • Personal costs were identified and cleared through the shareholder account rather than left as deductions.
  • The two outstanding returns were filed, and the prior year was amended where the corrected figures changed it.
  • A relief application was made on the interest, on the facts that supported it.

What the client got was a clean set of statements, filings that agree to them, and a compliance report showing what remained. No refund was promised, and none should be. Figures changed for privacy.

How to Choose the Right CPA Firm in Toronto/Ontario for Corporate Tax Cleanup

6

Choosing a Firm and Deciding Your Route

Choosing

  • Experience with incorporated businesses and multi-year backlogs.
  • Working knowledge of T2 filing, penalties, relief applications and objections.
  • A fee quoted before the work, not after.
  • Responsiveness, since CRA deadlines are short.
  • Familiarity with your accounting software.
  • Verifiable CPA Ontario registration and reviews.
Buyer Guidance: Questions to Ask on Free Consultation
  1. Have you handled backlogs of this size and type?
  2. How do you sequence overdue bookkeeping against the returns?
  3. What can be done about the penalties and interest already accrued?
  4. How is the fee structured, and what would change it?
  5. Which software do you work in?
  6. How quickly do you respond once CRA writes?
  7. Do you stay on after the corrected returns are filed?
  8. Have you represented clients through a review of prior-year errors?
  9. What do you need from me to start?
  10. How do you keep current with changes in the rules?

Unclear answers on fees or on who signs the return are the two warning signs worth acting on.

Expanded FAQs About Hiring A Corporate Tax Accountant For Cleanup Services

The questions below also cover our FAQs on Corporate Tax Cleanup and Related Services.

What is involved in professional corporate tax cleanup?+

Reviewing the records, reconciling every account, correcting the entries, then preparing the outstanding returns and amending filed years where the figures have changed.

Can hiring a CPA save money on taxes legally?+

A CPA identifies deductions you are entitled to and can support with records. Whether that produces a saving depends on your facts, and no firm can promise an amount before seeing them.

How long does the process usually take from start-to-finish?+

Four to eight weeks is typical once records are in hand. Multiple years, several entities or missing bank statements extend it.

Are there risks associated when attempting DIY cleaning instead of professionals’ help?+

The recurring problems are capital costs expensed outright, personal costs left in the company, payroll arrears left until last, and relief applications never made.

Will my sensitive information remain confidential throughout this engagement?+

Yes. CPA Ontario’s rules of professional conduct impose a confidentiality obligation, and access to CRA accounts runs through formal authorisation you control and can revoke.

Which documents should be prioritized when beginning this service?+

Bank statements for every affected period, payroll remittance records and prior returns. Those three determine how much reconstruction is needed.

What benefits come from hiring a CPA for corporate tax cleanup?+

Supportable deductions, filings that agree to the records, relief applications where grounds exist, and someone authorised to answer CRA on your behalf.

Can Gondaliya CPA assist with T2 corporate tax returns and GST/HST filings?+

Yes. We prepare and amend T2 returns and correct GST/HST filings for past periods, including elections and adjustments where a period was misreported.

How does CPA support reduce CRA audit risk?+

Reported figures that reconcile to bank deposits, GST/HST filings and payroll records are what remove the mismatches CRA screens for.

Does Gondaliya CPA offer penalty reduction services for late or incorrect filings?+

We prepare taxpayer relief applications under subsection 220(3.1) and Voluntary Disclosures Program applications where they apply. Relief is at CRA’s discretion, limited to the previous ten calendar years, and covers penalties and interest rather than the tax itself.

What is included in ongoing CRA representation by Gondaliya CPA?+

Correspondence, review and audit responses, collections discussions, and notices of objection where a reassessment is wrong. An objection is generally due within 90 days of the reassessment.

Are proactive tax planning services part of Gondaliya CPA offerings?+

Yes, once the records are current. That includes remuneration mix, capital cost allowance timing and, for eligible companies, SR&ED claims, which must be filed within 18 months of the year-end.

Can non-Canadian entities use your corporate tax cleanup service?+

Where there are Canadian filing obligations, yes. A non-resident with no Canadian source income or permanent establishment generally has nothing to clean up here.

Does Gondaliya CPA provide incorporation and payroll services?+

Yes, including incorporation, ongoing payroll, and correcting CPP, EI and income tax remittances along with the slips that report them.

How do you handle separation of mixed personal and business expenses?+

Personal amounts come out of expenses and go to the shareholder account. Left in place they are denied under 18(1)(h) and can be assessed as a shareholder benefit under subsection 15(1).

What risks exist with a DIY attempt at corporate tax cleanup?+

Beyond misclassification, the two that cost most are missing the disclosure window before CRA writes, and leaving payroll arrears unaddressed while directors remain personally liable under section 227.1.

Who This Is For / Not For

Fit Check

  • For: Incorporated businesses with overdue bookkeeping, unfiled or incorrect returns, payroll or GST/HST arrears, or a CRA letter already received.
  • Not For: Unincorporated sole proprietors, and anyone looking for a guaranteed refund or a promise that penalties will be cancelled.

People Also Ask

Quick Answers

What is the penalty for filing a T2 late in Canada?+

5% of the unpaid tax plus 1% for each complete month the return is late, to a maximum of 12 months, under subsection 162(1). A repeat failure within three years raises it to 10% plus 2% per month, to 20 months.

How far back can CRA reassess a corporation?+

Three years from the original notice of assessment for a Canadian-controlled private corporation, and four for other corporations. That limit does not apply where there has been misrepresentation from neglect, carelessness or wilful default, and a year never filed stays open indefinitely.

Can penalties and interest be cancelled?+

CRA may cancel or waive them at its discretion under subsection 220(3.1), limited to the previous ten calendar years. Relief covers penalties and interest, never the underlying tax.

Are directors personally liable for unpaid corporate tax?+

Not for the corporation’s own income tax, but yes for amounts withheld or collected and not remitted: source deductions under section 227.1 and GST/HST under section 323 of the Excise Tax Act, subject to a due diligence defence.

Should I file late returns or wait for CRA to contact me?+

File. Interest runs either way, an unfiled year stays permanently open, and the Voluntary Disclosures Program only offers its better treatment while the disclosure is still unprompted.

Verdict

Cleanup is a sequencing exercise more than an accounting one. Payroll and GST/HST arrears come first, because those follow the directors personally under section 227.1 and section 323 no matter what the corporation can pay. Then the books, because a return filed on unreconciled records simply moves the problem into a reassessment. Then the returns themselves, oldest year first, since an unfiled year never closes while a filed one starts a three or four year reassessment clock. Two dates decide how much the exercise costs: whether you file before CRA writes, which is what separates an unprompted disclosure from a prompted one, and whether the relief application falls inside the ten-year window. Nobody can promise you a refund or a cancelled penalty. What is within your control is filing on supportable records, and doing it before the letter arrives.

2026 Update

What is current as at 23 September 2026: the Voluntary Disclosures Program was revised effective 1 October 2025, and relief now turns on whether a disclosure is unprompted or prompted, which makes filing before CRA contact materially more valuable. Electronic filing has been mandatory since January 2024 where more than five information returns of a type are filed. Mandatory disclosure rules for reportable and notifiable transactions have applied since 22 June 2023. The capital gains inclusion rate remains 50% after the two-thirds proposal was cancelled on 21 March 2025, and the half-year rule is suspended for eligible property acquired after 31 December 2024 under Bill C-15, which changes prior-year capital cost allowance schedules being rebuilt during a cleanup. Unchanged for 2026: the T2 six-month deadline and the 162(1) penalty; the 162(2) repeat penalty; payroll penalties under 227(9) and director liability under 227.1; GST/HST penalties under ETA 280.1; slip penalties under 162(7.01); reassessment periods under 152(4); the ten-year limit on taxpayer relief under 220(3.1); the 90-day objection deadline; and six-year record retention under 230(4).
